1. General Provisions
1.1. Parties
These Terms of Service ("Agreement") are entered into between AcademiaBus platform ("Platform", "Service", "We") and the individual or legal entity using the platform ("User", "Subscriber", "You"). By registering for or using the Platform, you agree to all terms set forth in this Agreement.
1.2. Service Description
AcademiaBus is a cloud-based, multi-tenant business management platform designed for companies. The Platform encompasses the following services:
- Customer Relationship Management (CRM) and sales pipeline tracking
- Task and project management (Kanban boards, checklists, archiving)
- Document management (version control, approval workflows, sharing)
- Instant messaging and group chats
- Calendar management and meeting scheduling
- Field visit tracking
- File management and storage
- Email integration
- Personnel and team management
- Role-Based Access Control (RBAC)
- Reporting and analytics tools
- Third-party integrations (Google Calendar, Google Drive)
1.3. Service Changes
AcademiaBus reserves the right to make changes, updates, or improvements to the service scope with or without prior notice. In the event of removal of existing features, active subscribers will be notified within a reasonable timeframe.
2. Account Management
2.1. Registration and Account Creation
- You must register with a valid email address to use the Platform.
- Information provided during registration must be accurate, current, and complete.
- An administrator account is created for each company; the administrator can invite other users.
- You are required to change your temporary password upon first login.
2.2. Account Security
- You are responsible for maintaining the confidentiality of your account credentials (username, password).
- You are held responsible for all activities conducted through your account.
- You must notify us immediately if you detect unauthorized access to your account.
- We reserve the right to temporarily suspend your account in case of suspected security breaches.
2.3. Multi-Tenant Architecture
- Each company operates as an isolated tenant on the platform.
- One company's data cannot be viewed or accessed by other companies under any circumstances.
- The company administrator manages user access rights, roles, and permissions within their organization.
3. Subscription and Payment
3.1. Subscription Plans
- The Platform offers subscription plans with varying features and user capacities.
- Each plan includes a specific number of user licenses, which can be increased as needed.
- Subscription plans and pricing are subject to current rates as determined by the Platform.
3.2. Payment Terms
- Payments are automatically collected on a monthly or annual basis.
- Payment transactions are securely processed through PCI DSS-compliant Polar.sh payment infrastructure.
- Credit card and sensitive payment information is not stored on our platform; this information is processed directly by the payment provider.
- All prices include applicable taxes unless otherwise stated.
- Invoice information can be viewed from the payment history page.
3.3. Plan Upgrades and Changes
- You may upgrade your subscription plan at any time.
- During a plan upgrade, your old subscription is automatically cancelled and the new plan takes effect immediately.
- User count increases cannot fall below the current number of active users.
- Price differences from plan changes are applied from the next billing cycle.
3.4. Cancellation and Refunds
- You may cancel your subscription at any time.
- Cancellation is effective at the end of the current billing period; you may continue to use the service until the end of the period.
- Partial period refund requests are evaluated on a case-by-case basis.
- No charges are incurred if cancelled during the free trial period.
3.5. Payment Failure
- When automatic payment fails, a notification is sent to your registered email address.
- After 3 consecutive failed payment attempts, your account may be suspended.
- Your data is preserved in suspended accounts; access is restored upon payment.
- Accounts with no payment for 90 days may be permanently closed.
4. User Obligations
4.1. Acceptable Use
You agree to the following rules when using the Platform:
- Use the Platform only for legitimate business purposes
- Respect the rights of other users
- Not infringe upon intellectual property rights
- Provide accurate and up-to-date information
- Maintain account security
4.2. Prohibited Conduct
The following behaviors are strictly prohibited:
- Attempting to bypass or compromise the Platform's security mechanisms
- Uploading malware, viruses, or malicious code
- Attempting to gain unauthorized access to other users' data
- Sending automated requests (bots, scrapers, etc.) that overload the Platform
- Performing reverse engineering, source code extraction, or decompilation
- Using the Platform for illegal purposes, fraud, or criminal activities
- Sharing spam, unsolicited bulk email, or harassing content
- Creating accounts on behalf of another person or organization without authorization
- Sharing API access tokens with unauthorized individuals
4.3. Content Responsibility
- You are responsible for all content uploaded to the Platform (files, documents, messages, images).
- You must not upload content that infringes upon third-party intellectual property rights.
- Sharing illegal, obscene, defamatory, or discriminatory content is prohibited.
- AcademiaBus reserves the right to remove content it deems inappropriate without prior notice.
5. Intellectual Property
5.1. Platform Ownership
- The design, source code, algorithms, logo, interface designs, and all intellectual property rights of the AcademiaBus platform belong to AcademiaBus.
- This Agreement does not grant any transfer of or license over the Platform's intellectual property rights.
- Users are granted only a limited right of use within the scope of their subscription during the Agreement term.
5.2. User Data
- Ownership rights over data and content you upload to the Platform belong to you.
- AcademiaBus has the right to process, store, and backup this data for the purpose of service delivery.
- Upon subscription termination, users may request data export in an appropriate format.
6. Service Levels and Availability
6.1. Uptime
- AcademiaBus aims to provide service with a target of 99.5% uptime.
- Scheduled maintenance is performed during low-traffic hours whenever possible and announced in advance.
- AcademiaBus cannot be held responsible for outages caused by force majeure events (natural disasters, cyber attacks, infrastructure provider outages, etc.).
6.2. Support Services
- Technical support is provided through your registered email address.
- Support requests are evaluated on business days according to priority.
- Critical security issues are addressed as quickly as possible.
6.3. Backups
- Your data is backed up regularly.
- Backups are stored on secure servers in different geographic locations.
- In case of data loss, restoration is performed from the most recent backup.
7. Third-Party Integrations
7.1. Google Services
- Google Calendar and Google Drive integrations operate via Google OAuth 2.0 authorization.
- These integrations are optional, and each user may choose to connect their own account.
- AcademiaBus does not access your Google account passwords; only authorization tokens are stored.
- You may disconnect the integration at any time.
7.2. Payment Services
- Payment transactions are processed through Polar.sh infrastructure.
- Polar.sh's own terms of service and privacy policy also apply.
- AcademiaBus cannot be held responsible for service interruptions or errors by the payment provider.
8. Limitation of Liability
8.1. Service Warranty
The Platform is provided "as-is." AcademiaBus makes no express or implied warranty regarding:
- The service operating without interruption or error
- The Platform's fitness for a particular purpose
- Continuous compatibility of third-party integrations
8.2. Liability Limits
- AcademiaBus's total liability shall in no event exceed the subscription fees paid in the preceding 12 months.
- AcademiaBus shall not be liable for indirect, incidental, special, or punitive damages (loss of profit, loss of business, loss of data, etc.).
- AcademiaBus is not responsible for damages resulting from the User's own negligence or fault.
9. Suspension and Termination
9.1. Suspension by AcademiaBus
AcademiaBus may suspend your account with prior notice or immediately in urgent cases under the following circumstances:
- Violation of the terms of this Agreement
- Failure to fulfill payment obligations
- Conduct threatening platform security
- Suspicion of illegal activity
- Official requests from legal authorities
9.2. Termination by User
- You may cancel your subscription at any time through the settings page or by contacting the support team.
- Service usage continues until the end of the current billing period after cancellation.
- Your data is retained for 30 days after cancellation, during which you may reactivate your account.
9.3. Post-Termination
- All access rights to the Platform cease when the account is closed.
- Upon request, your data is delivered to you in an appropriate format.
- All data is deleted within a reasonable period, except for data subject to legal retention requirements.
10. Force Majeure
AcademiaBus's obligation to provide service is suspended or eliminated under the following circumstances:
- Natural disasters (earthquake, flood, fire, etc.)
- War, terrorism, civil unrest
- Government decisions or legal regulations
- Cyber attacks (DDoS, ransomware, etc.)
- Internet infrastructure provider outages
- Power outages or hardware failures
- Epidemics (pandemics)
11. Privacy
For detailed information regarding the collection, processing, and protection of your personal data, please review our Privacy Policy. The Privacy Policy is an integral part of this Agreement.
12. Dispute Resolution
12.1. Governing Law
This Agreement is governed by and construed in accordance with the laws of the Republic of Turkey.
12.2. Resolution of Disputes
- The parties shall first attempt to resolve any disputes through good-faith negotiation.
- For disputes that cannot be resolved through negotiation, the Courts and Enforcement Offices of Istanbul shall have jurisdiction.
13. General Provisions
13.1. Entirety
This Agreement, together with the Privacy Policy, constitutes the entire agreement between the parties and supersedes all prior written or oral agreements.
13.2. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the validity of the remaining provisions shall not be affected.
13.3. Assignment
AcademiaBus may transfer the rights and obligations arising from this Agreement to a third party with prior notice. The User may not transfer their account or contractual rights without AcademiaBus's written consent.
13.4. Waiver
AcademiaBus's failure to enforce any provision of this Agreement does not constitute a waiver of that provision.
